These Terms of Service, together with all documents and policies expressly incorporated by reference, including the STREXYL Privacy Policy (collectively, the “Terms” or these “Terms and Conditions”), constitute a legally binding agreement between you (“you,” “your,” or “User”) and STREXYL LLC, a New Jersey limited liability company with its principal place of business at 971 US Highway 202N, Ste N, Branchburg, NJ 08876 (“STREXYL,” “we,” “us,” or “our”). The Terms govern your access to and use of the STREXYL website located at strexyl.com, together with all related web pages, features, content, tools, integrations, and services that STREXYL makes available (collectively, the “Platform” or the “Services”).
The Platform is a digital marketplace and communication environment built for the short-term rental industry that connects short-term rental operators, co-hosts, short-term-rental-focused real estate agents, and investors. STREXYL provides the venue and the tools that allow Users to find one another, communicate, and pursue potential arrangements; STREXYL does not itself buy, sell, lease, manage, broker, or invest in property.
Please read these Terms carefully before using the Platform. By creating an Account, by checking a box or clicking a button indicating that you accept these Terms, by clicking “I agree,” or by otherwise accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy, which is incorporated into these Terms by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “your” refer to that entity. If you do not agree to these Terms, you must not access or use the Platform.
Important notice. The sections titled “Nature of the Platform; Relationship of Users; No Professional Advice,” “Assumption of Risk; Release Between Users,” “Disclaimers of Warranties,” “Limitation of Liability,” “Indemnification,” and “Dispute Resolution; Governing Law; Venue” define the role STREXYL plays, allocate risk between you and STREXYL, limit STREXYL’s liability, and govern how disputes are resolved. Please read them carefully, as they affect your legal rights and obligations.
1. Acceptance and Binding Agreement
These Terms take effect on the date you first accept them and remain in effect for as long as you access or use the Platform. Your acceptance is recorded when you check the box accepting the Terms at sign-up or when you click “I agree,” and your continued use of the Platform constitutes ongoing acceptance of the Terms then in effect.
You may accept these Terms only if you are able to form a legally binding contract with STREXYL, you are not barred from using the Platform under the laws of the United States or any other applicable jurisdiction, and you meet the eligibility requirements below. If you accept these Terms on behalf of an entity, both you and that entity agree that you are authorized to bind the entity, and the entity is responsible for your acts and omissions on the Platform.
These Terms incorporate the Privacy Policy and any additional guidelines, rules, or policies that STREXYL posts on the Platform, each of which forms part of the agreement between you and STREXYL. If there is a conflict between these Terms and a policy incorporated by reference, these Terms control unless the incorporated policy expressly states otherwise.
2. Definitions
In these Terms, capitalized terms have the meanings set out below. Other terms are defined where they first appear.
“Account” means the account you register and maintain to access and use the Platform.
“AI Assistant” means the automated assistant that answers questions about the Platform and your own Account.
“Boost” means an optional, paid upgrade that raises a Listing in “Most relevant” search results and highlights it for a limited period, at the price shown before purchase.
“Content” means all text, images, photographs, videos, documents, files, Listings, messages, proposals, deal terms, reviews, ratings, forum posts, comments, poll responses, and other materials that appear on, are transmitted through, or are generated in connection with the Platform.
“Co-host” means a User who provides hosting or operational support for a short-term rental.
“Core” means the subscription plan that provides access to both marketplaces, messaging, Deal Rooms, and the AI Assistant.
“Deal Room” means the dedicated area that opens when a proposal is accepted, in which the participating Users may record agreed terms, exchange contact details, and mark a deal complete or cancelled.
“Featured” means an optional, paid upgrade that places a Listing at the top of search results with a “Featured” badge for a limited period, at the price shown before purchase.
“Fees” means all amounts payable for the Services, including Subscription fees, listing fees, Boost fees, and Featured fees.
“Forum” means the community discussion area, including threads, categories, and polls, available to Users on the Pro plan.
“Investor” means a User seeking or offering capital, partnerships, or short-term-rental-related investment opportunities.
“Listing” means a Property Listing or a Profile Listing that a User posts on the Platform.
“Membership” means an active Core or Pro Subscription that entitles a User to access the Services.
“Operator” means a User who manages or operates a short-term rental property.
“Pro” means the subscription plan that includes all Core features plus access to the Forum.
“Profile Listing” means a listing in which a User showcases their experience, roles, and services.
“Property Listing” means a listing of a short-term-rental-ready property, rental arbitrage opportunity, co-hosting opportunity, partnership opportunity, or investment opportunity.
“Proposal” means an offer or request that one User sends to another through the Platform in connection with a potential arrangement.
“Real estate agent” means a User who is licensed to perform real estate brokerage services under applicable state law.
“Subscription” means a recurring Core or Pro plan that a User purchases to access the Services.
“Third-Party Services” means products, services, websites, integrations, application programming interfaces, software, or content provided by parties other than STREXYL.
“User Content” means Content that you or another User submits, posts, uploads, transmits, or makes available on or through the Platform.
3. Eligibility
The Platform is intended solely for professional use within the United States short-term rental industry. To access or use the Platform, you must satisfy each of the following requirements at all times:
you are at least eighteen (18) years of age, which you confirm by entering your date of birth at sign-up;
you have the legal capacity and authority to enter into a binding contract, and, if you use the Platform on behalf of an entity, the authority to bind that entity to these Terms;
you are located in, and will access the Platform from, the United States, as STREXYL serves the United States short-term rental market only;
you complete and pass government identification verification through Stripe Identity;
you maintain an active Core or Pro Subscription in order to use features beyond setting up your own profile; and
you are not a person with whom transactions are prohibited under United States economic sanctions or export laws, and you have not previously been suspended or removed from the Platform.
Certain Listing and profile information is publicly visible on the Platform, including to visitors who do not have an Account, and may be indexed by search engines and appear in search results. To view full Listing and profile details, to search for and contact other Users, to send or receive messages, to submit or accept Proposals, to post Listings, and to access the Forum, you must create an Account, complete identity verification, and maintain an active Subscription. STREXYL may, in its discretion, refuse the Services to any person or entity, and may add to or change the eligibility criteria at any time. You are responsible for ensuring that your use of the Platform is lawful in your jurisdiction.
4. Accounts and Registration
Registration. To create an Account, you provide your first and last name, email address, date of birth, and a password, and you accept these Terms and the Privacy Policy. You may instead register using a Google or Facebook account, in which case that provider shares certain information with STREXYL as described in the Privacy Policy. After confirming your email address, you complete onboarding by selecting your roles, such as “operator,” “co-host,” “investor,” or “real estate agent,” and by completing your profile, including your city and state.
Accurate and current information. You agree to provide information that is true, accurate, current, and complete, and to keep your Account information up to date at all times. STREXYL relies on the accuracy of the information you provide, and providing false, misleading, or incomplete information is a violation of these Terms.
Credentials and account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to use a strong, unique password, to keep it secure, and to notify STREXYL promptly at support@strexyl.com of any actual or suspected unauthorized use of your Account or any other breach of security. STREXYL is not responsible for any loss or damage arising from your failure to safeguard your credentials or Account.
One Account; no sharing. Unless STREXYL agrees otherwise in writing, you may maintain only one Account, and you may not sell, transfer, license, or share your Account or allow any other person to use it. Each Account is personal to the User who registers it.
Inactivity and deactivation. STREXYL may deactivate, archive, or remove Accounts that remain inactive for an extended period, that have never completed identity verification or activated a Subscription, or that STREXYL reasonably believes were created in violation of these Terms.
5. Identity Verification
Trust and safety are central to the Platform. Every User must verify their identity through Stripe Identity before using the Platform’s features. Verification uses a government-issued identification document and, where enabled and with your consent, a selfie that is compared with the photograph on your identification. This comparison is performed by Stripe. STREXYL receives and stores only the verification result and Stripe’s reference numbers; the identification images, identification number, and any face data remain with Stripe under its terms and privacy policy.
You agree to provide accurate and genuine identification information, and you authorize STREXYL and Stripe to collect, use, and process that information for the purpose of verifying your identity and preventing fraud. STREXYL may require re-verification at any time, and may decline, pause, suspend, or terminate access for any User who does not complete verification, whose verification cannot be confirmed, or whom STREXYL reasonably believes has provided false, altered, or fraudulent information or is attempting to circumvent verification. Identity verification confirms an identity only. It is not a background check and is not a guarantee of any User’s honesty, character, qualifications, financial condition, or conduct, and you must not rely on it as such.
6. Description of the Services
The Platform brings the tools that short-term rental professionals need into a single, unified environment. Its principal features include the following, each of which STREXYL may modify, expand, limit, or discontinue over time:
6.1 Property Marketplace
The Property Marketplace allows Users to post and discover short-term-rental-ready properties, rental arbitrage opportunities, co-hosting opportunities, partnership opportunities, and investment opportunities. Property Listings may include photos, descriptions, addresses, financial figures entered by the User, and an optional link to a property’s live listing on an external booking site.
6.2 Profile Marketplace
The Profile Marketplace allows operators, co-hosts, investors, and short-term-rental-friendly real estate agents to showcase their experience, roles, certifications, portfolios, and services so that other Users can find and evaluate potential partners.
6.3 Search and Discovery
The Platform provides map-based search and filters that help Users find opportunities and partners by market and by other criteria. Search results, including the effect of Boost and Featured upgrades, are ordered using criteria that STREXYL may adjust from time to time.
6.4 Messaging and Proposals
The Platform includes a messaging system that supports real-time chat, file sharing, pinned items, Proposals, and video calls conducted through Google Meet and scheduled through Google Calendar. Personal contact details and web links shared in messages are automatically hidden until a Proposal is accepted and a Deal Room opens.
6.5 Deal Rooms
A Deal Room opens when a Proposal is accepted. It records the agreed terms and allows the participating Users to exchange contact details, communicate, and mark the deal complete or cancel it. A Deal Room is a communication and record-keeping tool only. STREXYL is not a party to any agreement or arrangement between Users, whether recorded in a Deal Room or made elsewhere, and is not responsible for, and cannot be relied upon to monitor, guarantee, or enforce, any term the Users agree to. Enforcement of any agreed term is solely the responsibility of the Users involved.
6.6 Reviews and Ratings
Following a completed deal, Users may leave reviews and ratings of one another. Reviews and ratings reflect the views of the Users who post them, do not represent the views or opinion of STREXYL, and are subject to these Terms.
6.7 Forum
The Forum, available on the Pro plan, is a community discussion area with threads, categories, and polls where Users can post, share insights, ask questions, and interact with other short-term rental professionals.
6.8 AI Assistant
The AI Assistant answers questions about the Platform and your own Account. It is an automated tool, is subject to the disclaimers in these Terms, and does not provide professional advice.
6.9 Trust and Safety Features
The Platform includes safety features such as required identity verification for every member, automatic hiding of contact details in messages before a deal, and automated scam and fraud detection with human review.
6.10 Access and Availability
The Platform is web-based and works on desktop, mobile, and tablet browsers. No download or installation is required, although you must connect a Google account to use the video meeting feature, which relies on Google Meet. There is currently no standalone mobile application, though one may be developed in the future. Updates and new features are applied automatically and become available the next time you access the Platform.
7. Nature of the Platform; Relationship of Users; No Professional Advice
STREXYL is a neutral venue. STREXYL provides a platform that allows Users to find one another, communicate, and pursue potential arrangements. STREXYL is not a party to, and is not involved in, any agreement, transaction, partnership, sale, purchase, lease, co-hosting arrangement, management arrangement, investment, or other arrangement between Users. Any dealings you have with another User, including any communication, negotiation, agreement, payment, or performance, are solely between you and that other User.
Not a broker, agent, or adviser. STREXYL is not a real estate broker, real estate agent, salesperson, property manager, broker-dealer, investment adviser, investment company, financial adviser, tax adviser, escrow agent, or law firm. STREXYL does not provide real estate, brokerage, property-management, escrow, legal, financial, investment, securities, tax, or accounting services or advice, and it does not represent any User in any transaction. Nothing on the Platform, including any Listing, financial figure, projection, forum post, review, or response from the AI Assistant, is professional advice, an appraisal, a valuation, an offer or solicitation of securities, or a recommendation to enter into any transaction.
No involvement in real estate transactions. STREXYL does not solicit, negotiate, draft, prepare, review, facilitate, close, or otherwise participate in any real estate purchase, sale, lease, or brokerage transaction, and it is not entitled to and does not receive any real estate commission or transaction-based compensation. All property Listings and profiles are generated by Users. Each User is solely responsible for compliance with all applicable real estate licensing, brokerage, advertising, and disclosure laws, and any User who is a licensed real estate professional is responsible for ensuring that their use of the Platform complies with the rules of their license, brokerage, and jurisdiction.
Regulatory and legal compliance. You are solely responsible for determining which laws and regulations apply to your activities and for complying with them, including short-term rental registration and permitting, business licensing, zoning and land-use rules, occupancy and safety codes, homeowners association and lease restrictions, tax collection and remittance, securities laws applicable to any investment or partnership solicitation, fair-housing and anti-discrimination laws, and consumer-protection laws. STREXYL does not review Listings or User activity for regulatory compliance and is not responsible for any User’s failure to comply with any law or regulation.
No vetting of Users beyond identity. Other than confirming User identity as described above, STREXYL does not screen, investigate, endorse, or vet Users, and does not verify the experience, credentials, background, qualifications, licenses, certifications, or professional history of any User, including any operator, co-host, investor, real estate agent, cleaner, contractor, or other service provider. STREXYL is not responsible for false, exaggerated, misleading, or incomplete claims made in any profile, Listing, or communication, and you are solely responsible for evaluating the credibility, experience, and suitability of any other User before engaging with them.
No verification of Listings or properties. STREXYL does not verify the accuracy, completeness, truthfulness, legality, quality, condition, safety, or suitability of any Listing, User Content, property, or opportunity, and does not verify property ownership, financial or revenue claims, occupancy data, permits, or the legality of any Listing or activity. Financial figures that Users enter, such as asking price, rent, revenue, nightly rate, occupancy rate, expenses, and projected returns, are provided by Users, are not independently verified or endorsed by STREXYL, and may be inaccurate. STREXYL does not guarantee any property, deal, partnership, financing, return, result, or the identity, conduct, or performance of any User.
Your independent judgment. You are solely responsible for evaluating, and for conducting your own due diligence regarding, any User, Listing, property, or opportunity before entering into any arrangement, and for obtaining independent legal, financial, tax, insurance, and real estate advice as appropriate. You are responsible for complying with all laws that apply to your activities, including short-term rental, licensing, zoning, tax, securities, consumer-protection, fair-housing, and landlord-tenant laws.
No employment or agency. No agency, partnership, joint venture, franchise, employment, or fiduciary relationship is created between you and STREXYL by these Terms or by your use of the Platform. Users are independent of STREXYL and of one another, and no User is an employee, agent, or representative of STREXYL.
8. Assumption of Risk; Release Between Users
You understand that STREXYL does not control and is not responsible for the acts or omissions of any User, and that interactions with other Users, whether online, by telephone, or in person, and any resulting arrangement, carry inherent risks. You assume all risk arising from your use of the Platform and your dealings with other Users, including the risk of dealing with people who misrepresent themselves or their properties, opportunities, qualifications, or intentions.
Without limiting the foregoing, STREXYL is not responsible for, and you assume all risk relating to:
the acts, omissions, conduct, performance, or communications of any User, whether on or off the Platform, including in text messages, emails, telephone calls, video meetings, in-person meetings, and social media;
any User’s responsiveness, communication delays, or failure to follow through, and any instance in which a User cancels, fails to appear for a call or meeting, or stops communicating;
rude, unprofessional, inappropriate, dishonest, or harmful behavior by any User;
any misunderstanding or miscommunication between Users;
any fraud, misrepresentation, deceptive conduct, or scam by any User, notwithstanding the safety measures STREXYL employs, which cannot detect or prevent all misconduct;
any dispute between Users, including any dispute over intellectual property, copied Listings, reused materials, or ideas; and
how any User handles, uses, stores, or shares information, including contact details, that they receive from another User through the Platform.
STREXYL does not mediate, arbitrate, resolve, or participate in disputes between Users, although it may, at its discretion, suspend, restrict, or remove Users for safety, fraud, or policy reasons. Any dispute between you and another User must be resolved directly between the Users involved.
To the maximum extent permitted by law, you release STREXYL and its members, managers, officers, employees, and agents from any and all claims, demands, damages, losses, and liabilities of every kind, known or unknown, arising out of or relating to any dispute or interaction with any other User or any third party, or to any arrangement, transaction, property, or opportunity introduced or facilitated through the Platform.
If you are a California resident, you waive California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar provision of the law of any other jurisdiction.
9. Subscriptions and Plans
STREXYL offers two monthly Subscription plans. Core provides access to both marketplaces, messaging, Deal Rooms, and the AI Assistant. Pro includes everything in Core plus access to the Forum. Both plans provide a standardized experience; aside from the optional Boost and Featured listing upgrades, STREXYL does not offer customized or bespoke solutions. Launch prices are Core at $19.99 per month and Pro at $29.99 per month. The features included in each plan, and the prices of each plan, are described on the Platform and may change as described below.
Aside from browsing publicly available Listing and profile information, an active Subscription is required to use the Services, including to view full details, to search for and contact other Users, to send or receive messages, to submit or accept Proposals, to post Listings, and to access the Forum. Your Subscription continues until you cancel it or STREXYL terminates it in accordance with these Terms.
10. Fees, Billing, and Payment
Payment processor. All payments are processed by Stripe, STREXYL’s third-party payment processor. STREXYL does not receive or store full payment card numbers or card security codes. Your use of Stripe is subject to Stripe’s own terms and privacy policy, and you authorize STREXYL and Stripe to store and charge your payment method as described in these Terms.
Authorization to charge. By purchasing a Subscription or any other paid feature, you authorize STREXYL and Stripe to charge your designated payment method for all applicable Fees, plus any applicable taxes, at the time of purchase and, for Subscriptions, on each renewal date, until you cancel. You must keep a valid, current payment method on file for as long as you maintain a Subscription.
Currency and pricing. All Fees are stated and charged in United States dollars. The current price of any Subscription, Listing, or upgrade is always displayed before you complete the purchase.
Billing cycle and automatic renewal. Subscriptions are billed monthly in advance and renew automatically for successive one-month periods until cancelled. Listing fees, Boosts, and Featured upgrades are one-time charges applied at the time of purchase. Launch prices are: Core $19.99 per month; Pro $29.99 per month; listing fee $49.99; Boost $19.99 for seven (7) days; and Featured $39.99 for thirty (30) days.
Price changes. STREXYL may change its prices from time to time. New prices apply to new purchases and new Subscriptions. Existing subscribers keep their current price for as long as they remain continuously on the same plan; changing plans moves you to that plan’s then-current price. STREXYL will show the current price before any purchase or renewal to which a new price applies.
Changing plans. An upgrade from Core to Pro takes effect immediately, and you are charged a prorated amount for the remainder of the current billing period. A downgrade from Pro to Core takes effect at the end of the current billing period, and you retain Pro access until then.
Failed payments and grace period. If a renewal payment fails, you have a seven (7) day grace period to update your payment method. If payment does not succeed within that period, your access is paused until a successful payment is made. STREXYL is not responsible for any loss of access, visibility, or opportunity resulting from a failed or lapsed payment.
Receipts and records. Receipts and invoices are generated through Stripe and are available on your Membership and billing page.
Taxes. Fees are exclusive of taxes. You are responsible for all sales, use, value-added, and similar taxes and governmental charges associated with your purchases, other than taxes based on STREXYL’s net income.
Chargebacks. If you believe you have been charged in error, contact STREXYL at support@strexyl.com before initiating a chargeback. Card disputes and chargebacks are handled through Stripe and your card issuer. STREXYL may suspend or terminate Accounts associated with chargeback abuse or unresolved payment disputes and may recover amounts owed, including associated fees.
Payments between Users. STREXYL processes only its own Fees, such as Subscriptions, listing fees, and upgrades, through Stripe. STREXYL does not process, collect, hold, escrow, or disburse any payment between Users. Any payment between Users in connection with a property, partnership, co-hosting arrangement, service, or other deal takes place entirely outside the Platform, based on the Users’ own mutual understanding and using payment methods of their own choosing. STREXYL has no involvement in, visibility into, or responsibility for any such payment, and is not responsible for any related dispute, loss, or nonpayment.
No commission at this time. STREXYL does not charge any commission on deals between Users at this time. STREXYL may introduce commissions, or otherwise change or add fees, in the future, in which case it will display the applicable terms before they take effect.
Fees not contingent on outcomes. All Fees are charged for access to the Platform and its features and are not contingent on any result, deal, connection, outcome, or level of User satisfaction. Fees are owed regardless of whether you enter into or complete any deal.
11. Refunds and Cancellation
All Fees, including Subscription fees, listing fees, Boosts, and Featured upgrades, are non-refundable, except where a refund is required by applicable law or where STREXYL chooses to issue one in its sole discretion, for example for a duplicate charge or a demonstrable billing error.
You may cancel your Subscription at any time from your Membership and billing page. Cancellation stops future renewals, and you keep full access to the features of your plan until the end of the billing period you have already paid for, after which the Subscription ends. For example, if you cancel with two weeks remaining in your billing cycle, you keep access for those two weeks, and the Subscription then ends. Cancelling a Subscription does not refund any listing fee, Boost, or Featured upgrade already purchased, and does not, by itself, delete your Account or your data, which you may request separately as described in the Privacy Policy.
12. Listings and Listing Fees
Posting a Listing requires payment of the applicable one-time listing fee (launch price $49.99). You are solely responsible for the accuracy, completeness, and lawfulness of every Listing you post, including any address, financial figure, and external link. The listing fee covers the Listing until it is taken down, as follows:
a Property Listing is marked sold and permanently removed from the marketplace when a deal on it is completed by both parties;
a Listing that you close yourself may be re-listed later at no additional charge; and
a Listing that you delete is removed permanently, so posting it again requires a new listing fee.
Two optional upgrades are available for any active Listing: Boost (launch price $19.99 for seven days) raises the Listing in “Most relevant” search results and highlights it, and Featured (launch price $39.99 for thirty days) places the Listing at the top of search results with a Featured badge. Upgrades affect placement only and do not guarantee any level of views, responses, or outcomes. STREXYL may decline, remove, withhold, or reposition any Listing that violates these Terms or that STREXYL reasonably considers inaccurate, unlawful, unsafe, fraudulent, or otherwise objectionable, and no refund of the listing fee or any upgrade is owed in that case.
13. User Content and License
Your ownership. As between you and STREXYL, you retain ownership of the intellectual property rights in the User Content you submit to the Platform.
License to STREXYL. By submitting User Content, you grant STREXYL a non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable license to host, store, cache, reproduce, display, perform, distribute, adapt, and modify (for formatting, display, and delivery) the User Content, and to make it available to other Users and to service providers, in each case for the purpose of operating, providing, securing, maintaining, improving, and promoting the Platform. This license continues for as long as your User Content remains on the Platform and, to the extent necessary, after removal for backup, legal, safety, dispute-resolution, and record-keeping purposes.
Your representations regarding User Content. You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary to submit your User Content and to grant the license above; that your User Content, and STREXYL’s use of it as permitted here, does not and will not infringe, misappropriate, or violate the rights of any third party or any law; that your User Content is truthful, accurate, and not misleading; and that you have obtained any consent required to include another person’s information in your User Content.
Responsibility for User Content. You are solely responsible for your User Content and for the consequences of submitting it. STREXYL is not responsible for User Content and does not endorse any opinion, recommendation, Listing, or information contained in it. STREXYL is not obligated to store or maintain your User Content and may delete or remove it in accordance with these Terms; you are responsible for keeping your own copies of any User Content that is important to you.
Feedback. If you provide suggestions, ideas, or feedback about the Platform, you grant STREXYL a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it for any purpose without restriction, attribution, or compensation to you.
14. Acceptable Use Policy
You agree to use the Platform in a truthful, accurate, lawful, and professional manner, and only for purposes related to short-term rentals, real estate services, and other permitted marketplace activities. You agree that you will not, and will not attempt to, and will not assist or permit any person to:
provide false, misleading, deceptive, or inaccurate information, or misrepresent any property, availability, pricing, ownership, qualifications, affiliation, or your identity;
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
manipulate or attempt to manipulate transactions, Listings, Proposals, reviews, ratings, or search results, including by creating fake accounts, fake reviews, or fake demand;
circumvent, disable, or interfere with identity verification, payment verification, the hiding of contact details in messages, automated safety checks, rate limits, or any security or access-control feature of the Platform;
share personal contact details or external links in messages before a Proposal is accepted and a Deal Room opens, or otherwise attempt to take a prospective deal off the Platform to avoid Fees or safety measures;
use the Platform to send spam or unsolicited or unauthorized advertising, promotional materials, or solicitations;
harvest, scrape, crawl, spider, index, or collect information about Users or Content, or access the Platform by any automated means, except as expressly permitted by STREXYL in writing;
introduce any virus, malware, ransomware, or other harmful code, or launch any denial-of-service or similar attack, or otherwise interfere with or disrupt the integrity or performance of the Platform;
reverse engineer, decompile, disassemble, or attempt to derive the source code of, or create derivative works from, any part of the Platform, except to the limited extent that applicable law prohibits this restriction;
use the Platform to violate any applicable law or regulation, or to facilitate any illegal activity, including fraud, money laundering, or the evasion of taxes or sanctions;
use the Platform for any purpose unrelated to short-term rentals or real estate services;
infringe or misappropriate the intellectual property or other rights of STREXYL or any third party; or
create a new Account after your Account has been suspended or terminated, or otherwise evade any restriction imposed by STREXYL.
15. Prohibited Content
You are responsible for all Content you submit. You must not post, upload, share, or transmit any Content that:
is false, misleading, deceptive, or fraudulent, or that misrepresents a property, opportunity, price, or qualification;
is unlawful, or that promotes or facilitates unlawful activity;
is abusive, harassing, threatening, defamatory, obscene, hateful, or discriminatory, including on the basis of race, color, religion, sex, national origin, disability, familial status, or any other characteristic protected by law;
infringes or misappropriates any copyright, trademark, trade secret, patent, publicity, privacy, or other right of any person;
contains another person’s personal or confidential information without the necessary consent;
contains malware or other harmful code, or links to unsafe or malicious resources; or
is spam, chain communications, or otherwise unrelated to the permitted purposes of the Platform.
16. On-Platform Communications and Anti-Circumvention
To protect Users’ privacy and safety, personal contact details and web links shared in messages are automatically hidden until a Proposal is accepted and a Deal Room opens, after which the participating Users may exchange them. You agree to conduct your communications and dealings on the Platform through at least the point at which a Deal Room opens, and not to use the Platform to solicit or arrange to transact off-Platform in order to avoid Fees, verification, or safety measures. This section does not prevent Users from communicating or transacting off-Platform after a Deal Room has opened and contact details have properly been exchanged.
17. Content Moderation, Automated Safety Checks, and Enforcement
Content is generally published immediately and moderated afterward. STREXYL uses automated systems, including a third-party artificial intelligence provider, to scan messages, forum posts and comments, Proposals, Listings, and uploaded files for scams, fraud, prohibited content, and personal contact details. As a result of these checks, STREXYL may hide, block, withhold, quarantine, or flag Content; files that fail a safety check may be blocked or withheld; and suspicious Content may be flagged for review by authorized STREXYL staff, who make the final decision.
STREXYL has no obligation to monitor Content but may do so, and it may remove, disable access to, or refuse to publish any Content, and may investigate and take action against any User, at its discretion and without notice. Authorized STREXYL staff may review reported conversations, Deal Room records, and files to enforce these Terms and to protect Users and the Platform, and every such access is recorded in an audit log. Automated safety checks may occasionally hide, block, or flag legitimate Content, and, to the extent permitted by law, STREXYL is not liable for any such action or error. You may report a User, Listing, message, or post from within the Platform, and STREXYL will review reports in accordance with its policies.
18. Reviews and Ratings
After a completed deal, Users may leave reviews and ratings of one another. You agree that your reviews and ratings will be honest, based on your genuine, first-hand experience, and free of unlawful, abusive, misleading, or manipulative content, and that you will not offer or accept any incentive in exchange for a review or rating. Reviews and ratings reflect the views of the Users who post them, not STREXYL. You grant STREXYL the license set out in the “User Content and License” section for your reviews and ratings. STREXYL may remove, decline to publish, or moderate reviews or ratings that violate these Terms, and STREXYL does not guarantee the accuracy, reliability, or availability of any review or rating.
19. AI Assistant
The Platform offers an AI Assistant that answers questions about the Platform and your own Account. Responses are generated automatically by an artificial intelligence model and may be inaccurate, incomplete, or out of date. The AI Assistant does not provide legal, financial, tax, investment, insurance, or real estate advice, and its responses are not a substitute for professional advice or your own independent judgment. STREXYL may set reasonable usage limits, such as a daily number of questions, and may modify or discontinue the AI Assistant at any time. You use the AI Assistant at your own risk and are responsible for independently verifying any information before relying on it. To the extent permitted by law, STREXYL is not liable for any action taken in reliance on the AI Assistant.
20. Intellectual Property Rights
The Platform and all materials that comprise it, including the STREXYL name, logo, branding, trademarks, service marks, trade dress, software, source code, object code, databases, website and interface design, text, graphics, images, and all other content created by or for STREXYL (excluding User Content), together with all intellectual property rights in them, are and remain the exclusive property of STREXYL and its licensors, and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. STREXYL reserves all rights not expressly granted in these Terms.
Subject to your continued compliance with these Terms, STREXYL grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for legitimate short-term rental and real estate related purposes and in accordance with these Terms. You may not copy, reproduce, republish, distribute, publicly display or perform, frame, mirror, modify, translate, create derivative works from, sell, rent, lease, or otherwise exploit any part of the Platform, except as expressly permitted in these Terms. You may not remove, obscure, or alter any proprietary notice on the Platform. You may not use any STREXYL trademark, logo, service mark, or branding without STREXYL’s prior written permission. Any unauthorized use of STREXYL’s intellectual property terminates the license granted in these Terms and may result in suspension, termination, or legal action.
21. Copyright Complaints and DMCA Policy
STREXYL respects the intellectual property rights of others and expects Users to do the same. STREXYL responds to notices of alleged copyright infringement that comply with the United States Digital Millennium Copyright Act (DMCA).
Notice of infringement. If you believe that Content on the Platform infringes your copyright, you may send a written notice to STREXYL at support@strexyl.com, or to the address in the “Contact Us” section, that includes:
your physical or electronic signature;
identification of the copyrighted work you claim has been infringed;
identification of the material you claim is infringing, and information reasonably sufficient to allow STREXYL to locate it on the Platform;
your name, mailing address, telephone number, and email address;
a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.
Counter-notice. If you believe your Content was removed or disabled in error or misidentification, you may send a written counter-notice to the same contact that includes your signature, identification of the removed material and its prior location, a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification, your contact information, and your consent to the jurisdiction of the federal courts described in these Terms.
Repeat infringers. STREXYL will, in appropriate circumstances and at its discretion, disable or terminate the Accounts of Users who are repeat infringers.
22. Third-Party Services, Links, Integrations, and Software
The Platform relies on and integrates with services provided by other companies. These include Stripe (payment processing), Stripe Identity (identity verification), Amazon Web Services (hosting and file storage), Anthropic (the artificial intelligence model behind the AI Assistant and the automated safety checks), Resend (email delivery), Google (optional sign-in, and Google Calendar and Google Meet for scheduling and video calls), Facebook (optional sign-in), Mapbox (maps and address lookup), browser push services (push notifications), and YouTube and Vimeo (Help Center videos). Users may also include external links in their Listings or profiles, including links to Airbnb, VRBO, Booking.com, or their own direct-booking websites.
These Third-Party Services operate independently of STREXYL and are governed by their own terms and privacy policies, which you are responsible for reviewing and accepting. By using the Platform, you agree to comply with any third-party requirements necessary for payment processing, identity verification, communication, scheduling, or external listing access, including the applicable terms of Stripe and of Google and Facebook when you use their sign-in or scheduling features. STREXYL does not control, endorse, or assume responsibility for the content, accuracy, availability, security, or practices of any Third-Party Service or external website. Your access to and use of Third-Party Services and external links is at your own risk, and STREXYL is not liable for any loss, damage, or dispute arising from them.
The Platform may also incorporate third-party software, libraries, and components, including open-source libraries, commercial application programming interfaces, and proprietary vendor services. All such components are licensed under terms that permit their use within the Platform, and those licensing obligations are STREXYL’s responsibility and do not impose additional obligations on you beyond these Terms. You are granted no right to access, modify, distribute, or otherwise use any third-party software incorporated into the Platform, except through your permitted use of the Platform itself.
23. Third-Party Content and Advertisements
Aside from user-submitted external links and approved integrations, STREXYL does not host or display paid third-party advertisements, promotional banners, or sponsored content. Third-party content that appears on the Platform is either generated through User activity, provided through an approved integration such as Stripe, Google Meet, or Google Calendar, or accessible only when a User chooses to navigate to an external site. All such content originates from external providers, operates independently of STREXYL, and is governed by the terms and policies of the applicable third party.
24. Privacy
Your use of the Platform is subject to the STREXYL Privacy Policy, which describes how STREXYL collects, uses, shares, and protects information and is incorporated into these Terms by reference. By using the Platform, you acknowledge the Privacy Policy. Payment and identity information is collected and processed by Stripe and Stripe Identity under their own terms and privacy policies.
25. Electronic Communications and Consent to Electronic Records
You consent to receive communications from STREXYL electronically, including service emails, in-platform messages, and notices, for example about messages, Proposals, payments, account security, and changes to these Terms or the Privacy Policy. You agree that all agreements, notices, disclosures, and other communications that STREXYL provides electronically satisfy any legal requirement that they be in writing, and that electronic acceptance, such as checking a box or clicking “I agree,” has the same legal effect as a handwritten signature. You may control most notification types in your settings, though certain service and transactional communications are required in order to use the Platform. To withdraw consent to electronic communications, you must stop using the Platform and close your Account, since the Platform cannot be provided without electronic communications.
26. Service Availability, Maintenance, Changes, and Beta Features
The Platform is provided on an “as is” and “as available” basis. It may be temporarily unavailable, interrupted, or slower because of maintenance, updates, technical problems, or events outside STREXYL’s control. STREXYL will try to give advance notice of planned maintenance by email or in-platform message when practical, but it does not guarantee continuous, timely, secure, error-free, or uninterrupted access, and messaging, Listing visibility, and Forum functionality may be affected during maintenance or outages.
STREXYL may set reasonable limits on the use of the Platform, such as file types and sizes for uploads, messaging and posting frequency, and AI Assistant usage. STREXYL may add, change, suspend, limit, or discontinue any part of the Platform, including any feature, plan, or price, at any time. STREXYL may also offer features identified as beta, preview, or experimental, which are provided as is, may be changed or withdrawn at any time, and may be subject to additional terms. To the extent permitted by law, STREXYL is not liable for any modification, suspension, or discontinuation of the Platform, or for any delay, interruption, data unavailability, or automated-review error.
27. Suspension and Termination
By you. You may stop using the Platform at any time, cancel your Subscription from your Membership and billing page, and request deletion of your Account as described in the Privacy Policy.
By STREXYL. STREXYL may suspend or terminate your Account, or restrict, remove, or disable your access to any feature or Content, if you violate these Terms or any incorporated policy, if your conduct poses a risk to the Platform, its Users, or its operations, if you are involved in chargeback abuse or unresolved payment disputes, or if required by law. Grounds include any conduct described in the “Acceptable Use Policy” and “Prohibited Content” sections.
Process. When a potential violation is identified, STREXYL may temporarily suspend the Account while it reviews the matter, and you may be asked to provide additional information or documentation. If a violation is confirmed, STREXYL may issue a warning, restrict features, remove Content, or permanently terminate the Account. In cases involving severe misconduct, fraud, or safety or security concerns, STREXYL may suspend or terminate the Account immediately and without prior notice. Decisions regarding suspension and termination are made at STREXYL’s discretion, and STREXYL will notify you of the outcome by email or in-platform communication.
Effect of termination. On termination or expiration, your right to access and use the Platform ends, and STREXYL may deactivate or delete your Account and your Content, subject to the retention practices described in the Privacy Policy. Fees already paid are non-refundable except as stated in these Terms. Any provision that by its nature should survive termination will survive, including the sections titled Definitions, Nature of the Platform, Assumption of Risk and Release Between Users, Fees, User Content and License, Intellectual Property Rights, Disclaimers of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
28. Representations and Warranties by Users
You represent and warrant, each time you access or use the Platform, that: (a) all information you provide is true, accurate, current, and complete; (b) you meet and will continue to meet the eligibility requirements in these Terms; (c) you have the right and authority to enter into these Terms and to grant the licenses in them; (d) your use of the Platform, and your User Content, comply with these Terms and all applicable laws; (e) you will comply with all laws applicable to your activities, including short-term rental, licensing, zoning, tax, securities, fair-housing, consumer-protection, and landlord-tenant laws; and (f) you are not located in, and are not a national or resident of, any jurisdiction subject to comprehensive United States sanctions, and you are not on any United States government list of prohibited or restricted parties.
29. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL SERVICES, FEATURES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. STREXYL AND ITS LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
STREXYL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. STREXYL MAKES NO WARRANTY OR REPRESENTATION REGARDING ANY USER, LISTING, PROPERTY, OPPORTUNITY, PROPOSAL, TRANSACTION, OR OUTCOME, INCLUDING ANY FINANCIAL FIGURE OR PROJECTION SUBMITTED BY A USER, AND DOES NOT ENDORSE ANY USER OR USER CONTENT. IDENTITY VERIFICATION CONFIRMS AN IDENTITY ONLY AND IS NOT A GUARANTEE OF ANY USER’S TRUSTWORTHINESS, QUALIFICATIONS, OR CONDUCT. YOU DEAL WITH OTHER USERS, AND RELY ON ANY CONTENT, AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM STREXYL OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
30. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREXYL AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STREXYL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF STREXYL AND THE PARTIES LISTED ABOVE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO STREXYL IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). STREXYL IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY USER OR THIRD PARTY, FOR ANY ARRANGEMENT, TRANSACTION, OR DISPUTE BETWEEN USERS, OR FOR ANY THIRD-PARTY SERVICE. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND STREXYL. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
31. Indemnification
You agree to indemnify, defend, and hold harmless STREXYL and its members, managers, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your User Content; (b) your access to or use of the Platform; (c) your violation of these Terms, any incorporated policy, or any applicable law; (d) your violation of the rights of any third party, including any other User; (e) any arrangement, transaction, or dispute between you and another User or any third party; or (f) any tax obligation arising from your activities. STREXYL may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with STREXYL’s defense. You may not settle any matter in a way that imposes any obligation on STREXYL without STREXYL’s prior written consent.
32. Dispute Resolution; Governing Law; Venue
Informal resolution. Before filing any claim, you agree to first contact STREXYL at support@strexyl.com and provide a written description of the dispute, the relief you seek, and your contact information, so that the parties can attempt to resolve the dispute informally. You and STREXYL agree to negotiate in good faith for at least thirty (30) days after such notice before commencing any formal proceeding. This informal-resolution requirement does not apply to a request for temporary or preliminary injunctive relief to protect intellectual property or Platform security.
Governing law. These Terms, and any dispute or claim arising out of or relating to them, the Platform, or the relationship between you and STREXYL, are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and, where applicable, by the laws of the United States.
Exclusive venue. Any legal action, claim, or proceeding arising out of or relating to the Platform, the Services, or these Terms must be brought exclusively in the state or federal courts located in Somerset County, New Jersey. You and STREXYL consent to the personal and exclusive jurisdiction of these courts and waive any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens.
Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, CLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
Class action waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND STREXYL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Time to bring a claim. To the extent permitted by law, any claim arising out of or relating to these Terms or the Platform must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.
33. Export Controls and Sanctions Compliance
You agree to comply with all applicable United States export control and economic sanctions laws and regulations. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive United States sanctions, and that you are not identified on any United States government list of prohibited, restricted, or denied parties. You may not use the Platform for any purpose prohibited by these laws, and you may not permit any such person to access the Platform through your Account.
34. Changes to These Terms
STREXYL may update these Terms from time to time. When STREXYL makes changes, it will post the updated Terms on the Platform with a new effective date and will make reasonable efforts to notify members of material changes, which may include sending an email to the address associated with the Account. Because email delivery cannot be guaranteed, members will also be notified of material changes when they next log in, for example by being shown the updated Terms or a notice of the update. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Platform, and you may close your Account. Minor corrections that do not affect your rights, such as typographical or formatting fixes, take effect when published. Every version is kept with its effective date, and the current version is always available on the Platform.
35. Assignment
You may not assign, delegate, or transfer these Terms or your Account, in whole or in part, by operation of law or otherwise, without STREXYL’s prior written consent, and any attempt to do so is void. STREXYL may freely assign or transfer these Terms, in whole or in part, at any time and without notice or consent, including in connection with a merger, acquisition, reorganization, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
36. Force Majeure
STREXYL is not liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, failures or interruptions of the internet, telecommunications, hosting, or payment providers, cyberattacks, power failures, and governmental actions or restrictions.
37. Notices
STREXYL may provide notices to you by email to the address associated with your Account, by posting within the Platform, or by other reasonable means, and such notices are effective when sent or posted. You must send notices to STREXYL at support@strexyl.com or by mail to STREXYL LLC, 971 US Highway 202N, Ste N, Branchburg, NJ 08876. You are responsible for keeping your email address and contact information current.
38. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any policies or guidelines incorporated by reference, constitute the entire agreement between you and STREXYL regarding the Platform and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral, on that subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver. STREXYL’s failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by STREXYL to be effective, and a waiver in one instance is not a waiver in any other.
Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and STREXYL, and neither party has authority to bind the other.
No third-party beneficiaries. Except for the indemnified and released parties identified in these Terms, these Terms do not create any third-party beneficiary rights.
Headings and interpretation. Section headings are for convenience only and do not affect the interpretation of these Terms. As used in these Terms, “including” means “including without limitation,” and words in the singular include the plural and vice versa. Any ambiguity will not be construed against the drafter.
Governing language. These Terms are drafted in English, and the English version controls over any translation.
39. Contact Us
